Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Makali ecosystem, website, and shared services platform (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.

1. The Ecosystem Model

Makali acts as a Shared Service Provider (SSP). We provide the operational infrastructure, legal frameworks, and payroll administration for independent partners. We do not directly control the strategic business decisions of our partners, who remain independent entities.

2. Partner Obligations

As a partner within the Makali ecosystem, you agree to:

• Provide accurate and up-to-date information during the vetting and onboarding process.
• Adhere to the Makali Code of Conduct regarding professional interactions within the network.
• Maintain the confidentiality of shared IP and sensitive ecosystem data.

3. Intellectual Property

Unless otherwise agreed in a specific Statement of Work (SOW):

• Client IP: Intellectual property created for a specific end-client belongs to that client.
• Ecosystem IP: Tools, frameworks, and assets developed collaboratively for the benefit of the Makali network remain the shared property of the ecosystem, governed by the Founders' Circle agreement.

4. Limitation of Liability

Makali provides liability shielding for the employment of shared resources. However, Makali is not liable for specific business outcomes, lost profits, or strategic failures of individual partner ventures.

5. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
